Milestone: Arriving at a workable business idea

Dear Shareholders,

After about 2 weeks of brainstorming, ideating, field visits,we have arrived at a workable business proposition. We will take a turn towards creative direction, and start building up in that direction. We are going to make micro-movies of various formats (sub minute, 2 minute, 5 minute, fit for TV, fit for movies, Mobile economy-MMS etc), on a variety of topics. These micro-movies would be shot using ordinary digital cameras, or maybe even mobile phone.

Using Windows Movie Maker we will process them, and give it finishing touches. Once we have mastered the art, we will offer the program to a larger creative audience, and at the same time discover markets for them.

The topics/themes could be:
a. Commercial Ad ideas
b. Entertainment
c. Talent Exhibition
d. Educational Concepts
e. Promotion of Social Causes
f. Commentary on Daily News

We also need to create an organization to do it professionally. The streams that would be required
a. Script Writers
b. Music Scores Creators
c. Actors
d. Editing & Technical Staff
f. Marketing Field Force

This would help us create an organization., and give us branding, when we can move into full scale commercial movie production.

I consider this as another milestone in the short evolution timeline of Bollyscope.

Message for Siddharth

Hi Siddhartha,

Thanks for yesterdays creative session. Your videos were very appealing. It has opened a lot of new avenues for Bollyscope.

Couple of thoughts on video that you presented..
a. the sound in the videos presented yesterday needs redoing. There was a lot of white noise in the background.
b. We may have to re-record the sound , and lip synch it by muting the video
c. The colors have to be enriched. We will have to figure out a software for that.

In addition to Windows Movie Maker, please use these also which will help in audio editing & video finishing. You can search google and download them. They are all freewares.


VIRTUALDUB
VirtualDub is an easy to use video capturing and processing program that works with any Video for Windows compatible device. It helps you to get video onto your computer by capturing it from a source like your web cam or other input device, and also to edit existing video files you may have. MESSER
Messer (Memo Session Sound Recorder ) is a software for for scheduled sound recording on PC. You can record from your PCs soundcard and output directly to PCM (.wav) or MP3 format. Shift towards creative direction

After todays night discussions, it is felt that we should expand the basket of ideas we have along with Bollywood Tourism. Siddhartha showcased his creative videos which he had offered to Bollyscope as part of its intellectual property. These will be uploaded on Youtube.

Also, a deeper understanding of market is required. We need market understanding of the following:
a. Short Programs to the tune of half an hour
b. Advertisements
c. Full scale movies
d. Radio programs

Also, a ideation session will be done on innovative movie fund raising methods. Two mechansims have been suggested till now.
a. Retail Raising: Ordianry people will be asked to invest in a venture, and venture profits will be distributed to them.
b. Network Marketing methods: A network chain would be created, and a person higher on the network chain gets more.

More mechanisms are requested to be posted as comments.

Meeting with Ravi Khemu

We had an intense meeting with Ravi Khemu, Producer, Creative Manager. This was a second meeting for him, and first for me on behalf of Bollyscope. It lasted for about 3 hours. He had very strong views on how marketing be done, and he felt if you have the skills, you should be able to sell the unsaleable. We were seeing together a large number of issues, and disagreed on couple.

Finally we agreed up the following agenda:

a. Bollyscope (the new name of the company) should try to get into Industry Fund Management, and then it will be a very valuable vehicle. We discussed the example of Barak Obama who outspent Hillary Clinton on the back on retail support. (Hillary had bigger corporate backers, but she was outraised by Obama). If the same thing is done for movies, the dependence on uncredible sources could be reduced. Bolyscope will put up a plan in this regard, and get back to Ravi Khemu.

b. Ravi Khemu has worked with Shyam Benegal, and has agreed to get Shyam Benegal to talk to the shareholders/students. We propose, he should officially inaugrate the company, and unveil the logo. Three probable times need to forwarded to him, so that Shyam Benegal could come.

c. Ravi Khemu has himself accepted to come to campus and discuss his creative works. A suitable time needs to be arranged for him as well.

Feed back from the first contact person

I met Mr Ravi Khemu , who is father of Kunal Khemu (Kalyug , Traffic signal , Dhol and Superstar).
He is also a medium scale producer , and actor . He has been in the industry for nearly two decades , and is very well connected in bolly wood .

I presented the Bollywood tourism Business plan to him .
And he told me it won't work .

His logic is as follows :

1. Producers spend lakhs of rupees in rent for places in studios , and film cities .
This is for the sole purpose of NOT having a crowd around .
2. They have to hire expensive and extensive security for keeping crowds away if present .
3. The only thing really worth showing on Indian movie shoots is the movie star .
So if there is a crowd of 50 people are hanging around the sets , waiting to meet the star and
the star spends even 20 min out of the 2 hours on the set , signing autographs , and posing for
photos , the producer looses money to the tune of 10 s of lakhs , which we can in no way hope
to reimburse .
4. The interaction between the stars and the crowd is inevitable , since there is very little else
the crowd will be interested in , and even the stars tend to be attention hungry .
The only person who loses out in the game is the producer , who also happens to be the person
who has to give us permission to come in in the first place.
5. The monetary value we offer to a producer is literally loose change for him .

This comes straight from the horse's mouth .
So i think we'll either have to really modify our approach or look for other avenues .

One positive thing that came out of the meeting is an alternative business plan :
In movie advertisement .

We would need to contact corporates and FMCG companies , figure out who'd be willing to advertise in a movie , negotiate which stars they want , and what price they are willing to pay , then connect them through to which ever production house is willing , and take our cut out of the deal .

IDEA 006 : Consolidated Business plan

This idea is aimed at maximizing the utilization of our companies available resources , by expanding our possible customer base , by diversifying the operations .

If IDEA 005 , is unable to keep us constantly occupied , we shall bring IDEA 006 into play :

we shall offer advertising services to small and medium business , who need advertising to beat the larger competitors , but have a very limited advertisement budget .

We shall take up the clients product/ services and as per his need either :
1 redefine his target customer base .
2 Redesign his advertising campaign .
3 If he so desires , implement it in the various mediums deemed right from step 2 .
this may include internet advertising , news paper ads , actual printing of brochures / posters /banners etc .

Target Clientele :

SEEPZ has a huge collection of such small to medium businesses who could do with advertising , to either expand their business , or to just get it going .

We could also target small and medium stores in the Hiranandani area .

Advantages :

Little or no initial and running cost , since we'll primarily be working on our laptops .

It will exercise our marketing skills , since selling to small enterprises is quite difficult .

Considering we are all engineers , mostly with prior work experience ,
I feel we must utilize our core competency , which is our engineering minds and experience .

The plan is to start an Engineering Consulting Company .
This company will let out its resources to engineering and non engineering firms ,
to conduct surveys , studies etc , on or off the facilities of the client .

Once the company tells us its requirements , we will devise the survey / study for the issue ,with the required focus and at the desired depth .
We shall execute the project at our convenience , unless its an express requirement , for which we can charge a premium .

Advantages :

1. Being NITIE students , we have relatively easy access to a lot of engineering and FMCG firms eg L&T , and P&G , since the management is heavy with NITIE graduates . So getting projects should not be a major hurdle , assuming availability of projects .

2. The projects them selves will not be excessively time intensive , so other areas (like academics) that require our attention will not suffer .

3. Initial Capital investment required is nearly zero .

4 . Running costs are nearly zero .

5. So it means almost immediate profitability

6. Lots of Prospective clients in the surrounding area . (L&T , SEEPZ , UHDE etc)


Disadvantages :

1. No guarantee of available projects .(but that's a limitation of almost any plan)

Unique selling Proposition :

We will be offering them services at a fraction of market cost , assuming such companies do exist .

Sustainability :

Depending on the success at the end of two years , we can involve future NITIE batches
and continue the good work .

Education field is not enough mature in India and we can find a lot of opportunities in this field.
We have rich talented people and a lot of talent searchers. We can be a common point of contact between these two people. Education consultancy is needed at each level starting from school, engineering colleges, B-schools and much more in CORPORATES.
We can start a company where all the talented people in various fields, technology and domains can register with us and we can provide their service to the needed persons/companies.
Everyone(Students, employees) wants to earn extra money, so that we can provide a good platform to all the experts to invest some time in this activity and earn a good amount. We can specially target students which can provide really good service and at a much cheaper rate than the price of an existing institute.

Also there are many high level programs like Project Management/CFA/CRM/Advance supply chain management/SAP/Informatica and various more which provide students a good opportunities to earn money. There are so many people in b-schools who want consultancy about these certifications, and if we have any such person in out talent database, he can provide consultancy and training and can earn a good amount of money with small investment of his time.

Also corporate need some expert lectures/training and we can provide them experts from our talent database

There is a hierarchy at every level like engineering colleges, IITs then NITS then private colleges, so if a group of students for a private college need some expert in some subject like data structure or java or networking we can arrange a student from IIT or an interested person from corporate…. This will be a win-win situation for both of them.
This concept can really help students to earn while studying and also help corporate employees to earn extra money.

Prerequisites for Opening a Company

Steps to be taken to get a new company incorporated:
• Select, in order of preference, at least one suitable name upto a maximum of six names, indicative of the main objects of the company.

• Ensure that the name does not resemble the name of any other already registered company and also does not violate the provisions of emblems and names by availing the services of checking name availability on the portal. Justification of company is required.

• Apply to the concerned RoC (Registrars of Company) to ascertain the availability of name in eForm1 A by logging in to the portal. A fee of Rs. 500/- has to be paid alongside and the digital signature of the applicant proposing the company has to be attached in the form. If proposed name is not available, the user has apply for a fresh name on the same application.

• After the name approval the applicant can apply for registration of the new company by filing the required forms (that is Form 1, 18 and 32) within six months of name approval

• Arrange for the drafting of the memorandum and articles of association by the solicitors, vetting of the same by RoC and printing of the same.

• Arrange for stamping of the memorandum and articles with the appropriate stamp duty.

• Get the Memorandum and the Articles signed by at least two subscribers in his/her own hand, his/her father's name, occupation, address and the number of shares subscribed for and witnessed by at least one person.

• Ensure that the Memorandum and Article is dated on a date after the date of stamping.

• Submit the following eForms after attaching the digital signature, pay the requisite filing and registration fees and send the physical copy of Memorandum and Article of Association to the RoC.

• After processing of the Form is complete and Corporate Identity is generated obtain Certificate of Incorporation from RoC.

1. Every Company should conduct at least 1 Annual General Meeting and 4 Board Meeting.
2. Balance Sheet and Annual Returns should be maintained and filed time to time.
Board of Directors
1. At least 2 directors are required and maximum 12 directors can be there.
2. 2 Directors should have their DIN (Director Identification Number) and submit copy of digital signatures.

Registered Office
1. Registered office is mandatory in order to get notices and certificates from MCA(Ministry of Corporate Affairs).

1. If minimum capital investment is Rs. 1,00,000 then stamp duty of Rs. 1440 is applicable.
